中欧国际工商学院（以下简称“中欧”）就江苏云学堂网络科技有限公司（以下简称“云学堂”）与上海中欧国际文化传播有限公司（以下简称“中欧国际”）近期发出的联合声明以及“云学堂战略控股数字中欧”的相关媒体报道，特此发布声明如下：
Regarding the joint statement recently made by Jiangsu Yunxuetang Network Technology Co., Ltd. (hereinafter referred to as “Yunxuetang”) and Shanghai China Europe International Communications Co., Ltd. (hereinafter referred to as “CEIBS International”), as well as recent media reports of “Yunxuetang strategically holds shares of Digital CEIBS”, China Europe International Business School (hereinafter referred to as “CEIBS”), hereby makes the following statements:

任何企业、机构及个人在未获得中欧明确同意及合法授权的情况下，均不得亦无权使用中欧商标或者标识，并不得亦无权以中欧名义开展任何线上/线下活动。
Without CEIBS’s explicit consent and legal authorization, any enterprise, institution or individual shall not or has no right to use CEIBS’s trademarks or logos, and it shall not or has no right to conduct any online/offline activities in the name of CEIBS.

近期，中欧通过查询工商登记信息发现，云学堂业已成为中欧国际、峰禾文化的控股股东，且中欧国际、峰禾文化的法定代表人、执行董事和监事也已被更换，中欧对该等股权转让、变更行为并不知情也不予认可。云学堂就该等事宜也从未事先与中欧进行过任何形式的沟通。中欧国际、峰禾文化已被云学堂实际控制，其作出的任何声明及行为（包括其与云学堂的联合声明）不代表中欧立场，均与中欧无关。
Recently, through business registration information, CEIBS discovered that Yunxuetang has become Fenghe CommunicationsFenghe Communications have been changed. Fenghe Communications have been in fact controlled by Yunxuetang

“数字中欧”并非中欧官方授权的在线出版平台，亦非任何合法存在的法律实体。近期媒体报道的“云学堂战略控股数字中欧”无事实和法律依据。
“Digital CEIBS” is not an online publishing platform officially authorized by CEIBS. It is not a legally established entity. There is no factual or legal basis for the news “Yunxuetang strategically holds shares of Digital CEIBS” reported by the media recently.

中欧已采取法律行动维护其自身合法权益、品牌形象与卓越声誉。
CEIBS has taken legal actions to protect its legitimate interests, brand images and excellent reputation.
